1. Agreement and authority
These Business Terms are between Goodtap, an Ontario, Canada sole proprietorship operating as GoodTap, and the participating business. A person accepting confirms that they have authority to bind that business.
These terms incorporate the applicable order, the public Terms of Use, the Privacy Policy, and the Data Processing Addendum. An order controls only for a conflicting commercial term.
2. Service and launch
GoodTap provides the subscribed loyalty platform and the launch items shown in the order, which may include a custom QR plaque, programmed NFC token, Wallet pass, business portal, staff scanner, setup, shipping, or installation.
The business must provide accurate setup information, approve customer-facing content, protect equipment, and complete reasonable launch tasks. Features identified as beta, planned, or Pro may change and are not included unless the order says so.
3. Administrators and staff
The business controls its administrators and staff and must assign the least access needed, avoid shared credentials, enable required security controls, and remove access promptly when a person leaves or changes roles.
The business is responsible for activity through its authorized accounts and for training staff to add visits and redeem rewards accurately.
4. Customers, privacy, and marketing
The business decides why it offers the program, what customer information it requests through supported settings, and what marketing it sends. It must collect only what is reasonably necessary, provide clear notices, use customer information only for disclosed lawful purposes, and cooperate with access, correction, deletion, consent-withdrawal, and complaint requests.
Required loyalty-service consent must remain separate from optional email and Wallet marketing. The business may contact only the audience with valid consent or another lawful basis, must identify itself, and must provide and honour a working unsubscribe method.
5. Rewards and fair operation
The business publishes the earn rule, reward, eligibility, and redemption process and must honour the advertised offer. Rewards do not expire only because time passes. Refunded purchases may reverse their stamps, and GoodTap or the business may correct duplicates, fraud, or processing errors.
If the business closes or materially changes a program, it must give reasonable notice where practicable and a reasonable opportunity to redeem an available reward, subject to applicable law.
6. Fees, cancellation, hardware, and installation
Prices, taxes, plan limits, trials, and renewal dates are shown in the order or checkout. Monthly service may be cancelled at any time and stays active through the paid period; no partial-month refund is provided unless required by law or agreed in writing.
Unopened non-custom hardware may be returned in original condition within 14 days after delivery. Custom or programmed items are non-refundable once production begins. Defective GoodTap-supplied hardware will be repaired or replaced as appropriate. Installation changes require at least 24 hours’ notice.
7. Data access, export, and termination
The business may access customer records connected to its own program, subject to permissions and privacy law, and must not use the service to access another business’s information. GoodTap may suspend access for non-payment, material breach, fraud, unlawful conduct, or a serious security or customer risk.
Before or promptly after cancellation, the business may request a reasonable export of its supported records. GoodTap may retain or delete records according to the Privacy Policy, legal holds, security needs, and the Data Processing Addendum.
8. Service standard and responsibility
GoodTap will use reasonable care to provide and secure the service but does not guarantee uninterrupted availability or any particular increase in visits, retention, reviews, or revenue. The business remains responsible for its operations, employees, offers, taxes, marketing, and legal compliance.
To the extent permitted by law, neither party is liable for indirect, special, incidental, punitive, or consequential loss. Mandatory rights and liability that cannot legally be excluded remain unaffected.
9. Updates, law, and contact
GoodTap may update these terms for legal, security, or material service changes. A business will be asked to accept again when a change materially affects its rights or obligations; minor clarifications do not require renewed acceptance.
