1. Agreement and eligibility
These Terms form an agreement between Goodtap, an Ontario, Canada sole proprietorship operating under the GoodTap brand, and each person or business that accesses the GoodTap website, business portal, staff scanner, loyalty sign-up, Wallet pass, QR/NFC service, or related support.
By using the service, you confirm that you can legally enter into this agreement. A person accepting for a business confirms that they have authority to bind that business. If you do not agree, do not use the service. Mandatory rights under applicable consumer law are not waived.
2. The GoodTap service
GoodTap provides digital loyalty technology that may include branded sign-up pages, Apple Wallet and Google Wallet passes, QR plaques, NFC tokens, business dashboards, staff scanner access, visit and reward records, messaging tools, fulfillment, and support.
Some functions depend on third parties, compatible phones, internet access, Wallet settings, browser storage, and supported NFC hardware. Features marked beta, pilot, planned, or Pro may change or may not be available to every account.
3. Accounts, access, and security
You must provide accurate information and keep account credentials secure. Business administrators control their authorized staff, roles, and locations and must remove access promptly when it is no longer required. You are responsible for activity performed through your account unless caused by GoodTap’s failure to use reasonable safeguards.
Do not share one person’s login with another. Follow required password, verification, and multi-factor authentication steps. Notify hello@goodtap.ca promptly about suspected unauthorized access.
4. Participating business responsibilities
Each participating business is responsible for:
- accurate business information, branding, reward descriptions, eligibility rules, locations, and customer-facing content;
- honouring rewards and representations made to customers;
- training and supervising staff and securing QR/NFC materials and scanner access;
- collecting only information that is reasonably necessary and responding to privacy requests for records under its control;
- obtaining and documenting any marketing consent it relies on and honouring withdrawals and unsubscribes; and
- complying with privacy, anti-spam, consumer-protection, accessibility, tax, advertising, employment, and other laws that apply to its business.
A business must not use GoodTap for unlawful, deceptive, discriminatory, harassing, infringing, or unsolicited activity, or to collect sensitive information that GoodTap has not expressly agreed to process.
5. Loyalty programs and rewards
The participating business—not GoodTap—sets and publishes the reward, number of qualifying visits or purchases, eligibility conditions, and redemption process. GoodTap records activity and makes the record available, but the business is responsible for delivering the advertised reward.
Unless an offer clearly says otherwise, visits, stamps, tokens, and rewards have no cash value, are not transferable, and may be used only with the issuing business. A customer must not manipulate, copy, resell, or fraudulently obtain loyalty activity. A refunded or reversed purchase may result in the corresponding visit or stamp being reversed, and obvious duplicate, fraudulent, or processing-error entries may be corrected.
A business must clearly disclose material reward rules before a customer joins and must not expire, cancel, or suspend rewards contrary to applicable law. GoodTap does not impose expiry based only on the passage of time. If a program closes or changes materially, the business must give reasonable notice where practicable and a reasonable opportunity to redeem an available reward, subject to applicable law.
6. Marketing, Wallet messages, and reviews
Marketing consent must be separate from the loyalty service where required. A business may send commercial electronic messages only when it has consent or another lawful basis and the message meets identification, contact, and unsubscribe requirements. GoodTap may limit message frequency or suspend tools to protect customers or comply with law.
Review requests must invite honest feedback. Businesses must not create fake reviews, hide material incentives, pressure customers to leave only positive reviews, or divert dissatisfied customers in a way that creates a misleading impression. Promotional claims must be truthful, supportable, and not materially misleading.
7. Orders, trials, fees, and taxes
Current kit prices, installation options, subscription fees, trial conditions, plan limits, renewal terms, and cancellation rules are shown at checkout, in an order, or in the business portal. Unless stated otherwise, prices are in Canadian dollars and applicable taxes are extra.
Payments may be processed by Stripe. You authorize applicable recurring charges until the subscription is cancelled. Monthly subscriptions may be cancelled at any time and remain active through the end of the paid billing period. Unless required by law or expressly agreed otherwise, GoodTap does not provide partial-month refunds. A missed or failed payment may result in restricted or suspended business access after reasonable notice.
8. Hardware and third-party services
Unopened, non-custom hardware may be returned within 14 days after delivery, subject to its original condition and any mandatory rights. Custom QR plaques, programmed NFC tokens, and other made-to-order items are non-refundable once production begins. If GoodTap-supplied hardware is defective, GoodTap will repair or replace it as appropriate.
For an installation appointment, request a change at least 24 hours in advance. Late changes, missed appointments, remote locations, or work outside the agreed scope may require a new appointment or additional charge disclosed before the work continues.
Apple, Google, Stripe, browsers, mobile devices, carriers, hosting providers, and other third parties operate under their own terms and privacy practices. GoodTap is not responsible for a third party’s independent outage, policy change, account restriction, or device limitation, but will use reasonable efforts to keep supported integrations operating.
9. Acceptable use and intellectual property
You may not bypass security, interfere with the service, probe for vulnerabilities without written permission, reverse engineer secure NFC configurations, access another business’s records, upload malicious code, scrape the service, or use GoodTap to violate another person’s rights.
GoodTap and its licensors retain rights in the platform, software, designs, documentation, and GoodTap branding. A participating business retains rights in content and branding it supplies and gives GoodTap a limited licence to host, reproduce, adapt, and display that material to provide the service.
10. Availability, changes, and support
GoodTap aims to provide a reliable service but does not promise uninterrupted or error-free operation. Maintenance, security work, internet failures, provider outages, or circumstances beyond reasonable control may affect availability.
We may update the service for security, reliability, usability, or legal compliance. We will provide reasonable notice of a material reduction to paid core functionality where practical. Support is available at hello@goodtap.ca.
11. Suspension, cancellation, and data
A business may cancel according to its order or subscription terms. GoodTap may suspend or terminate access for non-payment, material breach, fraud, security risk, unlawful use, harm to customers, or legal necessity. Where reasonable, we will provide notice and an opportunity to correct the issue.
On termination, access to business tools may end. Subject to privacy, security, legal, and technical limits, a business may request an export of its customer records before or within the period communicated at cancellation. Customers may contact the participating business or GoodTap about an active pass or personal-information request.
12. Disclaimers and liability
To the maximum extent permitted by law, the service is provided on an “as available” basis. GoodTap does not guarantee a particular increase in revenue, retention, visits, reviews, or customer behaviour. Businesses remain responsible for their operations, offers, staff, customer service, marketing decisions, and legal compliance.
To the maximum extent permitted by law, GoodTap is not liable for indirect, incidental, special, punitive, or consequential loss, or for lost profits, goodwill, data, or business opportunities. Any limitation does not apply where prohibited by law, including liability that cannot legally be excluded. Nothing in these Terms limits mandatory consumer rights.
13. General terms and contact
These Terms and an applicable order form the agreement for the service. If an order conflicts with these Terms, the order controls for that specific commercial term. If part of the agreement is unenforceable, the remaining parts continue. A failure to enforce a term is not a waiver.
These Terms are governed by the laws of Ontario and the federal laws of Canada that apply there, without limiting mandatory rights or a legally required forum in another province. Legal notices may be sent to hello@goodtap.ca or to Goodtap, 3-252 Penetanguishene Rd, Barrie, ON L4M 7C2, Canada.
